PARTNER CODE OF CONDUCT

 

Effective: January 01, 2022

 

nutrifile, Inc., including its subsidiaries and affiliates (collectively, “nutrifile”) is committed to performing with the greatest degree of compliance with all appropriate laws. We require you (be you one of our tenants, vendors, contractors, representatives, agents, distributors, suppliers, merchants, or other such business partners), and our own personnel (our subcontractors, representatives, agents, officers, directors, and employees) to take equal measure in this commitment.

 

It is your duty to quickly report any suspected or known violations pertaining to this Code of Conduct (whether by nutrifile, nutrifile’s personeel, you, or your personnel) via <NEED SUPPORT LINK>

 

Health, Safety, Labour, and the Environment

 

Your personnel and you must:

 

  1. Comply with all appropriate health, safety, and labour laws and regulations in whichever markets you operate in, at both the local and federal level, including such maximum working hours and minimum wage requirements

  1. Disallow harassment or unlawful discrimination in the workplaces, including behaviour which creates an hostile, intimidating or unsafe environment (this prohibition applies to interactions with nutrifile customers, nutrifile personnel, and our Vendors).

  1. Provide your personnel with safe and healthy working conditions, including by offering emergency training and resources, practicing industrial hygiene, and enacting equipment safety initiatives, as appropriate.

  1. Perform your operations via methods which are environmentally responsible and meet an appropriate level of due diligence for the environment.

  1. Comply with the appropriate environmental regulations, standards, and laws to guarantee for your personnel a safe work environment

  1. Take efforts reduce pollution, employ sustainability measures, and use energy efficiently 

 

Unfair Competition and Gifts

 

Your personnel and you shall:

 

  1. Follow all appropriate anti-corruption laws, which can include the Canadian Corruption of Foreign Public Officials Act, and any other regulations and laws disallowing commercial or public bribery, kickbacks, extortion, or other such improper and unlawful ways of conducting business.

  2. Follow all appropriate laws and regulations pertaining to antitrust and fair competition.

  3. Follow all appropriate boycott, embargoes, sanctions, customs, export, import and other such trade compliance regulations and laws

  4. Not indirectly or directly, receive or give (or authorize the receiving or giving) of any valuable thing (which include without limit, entertainment, meals, donations, favors, gifts, and money, no matter the amount) to establish an unjust advantage, to influence anyone to incorrectly perform a duty or function, to reward any individual for the incorrect performance of a duty or function, or with such belief that the acceptance of such thing of value is incorrect.

  5. Not authorize, give, or promise such provision of “facilitating payments” in order to secure or expedite the performance of routine, non-discretionary governmental duties, regardless of if they are permitted by the applicable law.

  6. Not promise, offer, or give hospitality, gifts, and/or make trips to officials of the government on nutrifile’s behalf for purposes of establishing an incorrect business advantage or retaining/obtaining business.

  7. Not use child, forced, or involuntary labour.

 

Information Privacy and Confidentiality

 

Your personnel and you shall:

 

  1. Follow all appropriate data privacy regulations and laws when processing such identifying or personal information of any person with whom you do business, including employees, consumers, customers, suppliers.

  2. Safeguard, strictly, the information and data privacy of personal information which you receive via nutrifle.

  3. Make adequate, industry standard efforts in order to keep data confidential and secure always.

  4. Not disclose or share nutrifile’s confidential information, intellectual property, or other information which is proprietary which you may have access to or acquire via your relationship with nutrifile. 

 

Records and Books

 

You and your personnel shall:

 

  1. Cooperate fully with nutrifile in any government audits to the extent relevant and applicable to you

  2. Keep accurate books, accounts, and records for all transactions related to your business with nutrifile.

  3. Not use fictitious, inaccurate, or misleading documents to support transactions related to business with nutrifile. This includes without limit, information you develop in connection to any engagements you have with nutrifile, and any information which relates to nutrifile products, nutrifile customers, nutrifile Vendors, nutrifile practices, processes, programs, strategies, costs, pricing, and personnel. If you have agreed to a non-disclosure agreement with nutrifile, that agreement shall override this section.

  4. Not engage in misleading or false accounting practices, such as using unrecorded or undisclosed payments.

 

Failure to follow this Code of Conduct shall be deemed a violation of your agreement and contract with nutrifile, and can result in nutrifile terminating, immediately, any business relationship it shares with you. To the extent that your contract supplements or contradicts the Code of Conduct, that supplemental or contradicting provision shall be governed by the contract as it applies.
